private clubs, preferred pricing and advanced booking privileges at high-end
daily fee and resort properties, along with a wide array of sports, business
and entertainment services. The Company's marketing partners include major
financial institutions, fitness clubs, ski resorts, golf retailers, golf
magazines, tee-time providers, dining partners, timeshare partners, corporate
sponsors, and entertainment partners. The Company provides partner clubs with
numerous long-term competitive advantages to drive additional membership sales,
rounds and revenues to their respective clubs. Certain club partners and
members hold equity ownership in the InVicta Club and revenue share in the fees
and dues generated from membership sales. InVicta Club, Inc. is a California
