Q: What is the InVicta Club?
A: InVicta Club, Inc., is a California Corporation,
that combines, for the first time, the financial interests of golf club owners,
golfers, and service providers under one company. Additional information
is available under "The Company" section of the website
or email questions to: Info@InVictaClub.com.
The Company intends to file a public company registration statement with the
Security and Exchange Commission in the near future allowing members to purchase
certain equity memberships in the InVicta Club. In the meantime, the Company
will only sell non-equity Founding Memberships. All Founding members will
be given the opportunity to upgrade to equity memberships when they become available.
Q: How do I become a member of the InVicta Club?
A: Membership in InVicta is by invitation from a friend
or strategic partner of InVicta. An adult (21) may apply by completing
the application on the InVicta Club Web Site. Upon approval, InVicta
will provide you with a membership number which will serve as identification
at InVicta Clubs, events, and services. Initiation fees and monthly dues,
billed at the beginning of each month, will be billed on the credit card used
for your application.
Q: When and how will I be able to upgrade my Non-Equity
Membership to an Equity Membership?
A: The InVicta Club, today, is only able to sell Non-Equity
Founding Memberships. The Company intends to file a public company registration
statement with the Securities and Exchange Commission to be able to offer Equity
Memberships in the near future. Existing non-equity members will have
the opportunity to upgrade at preferred rates when the Company begins to sell
equity memberships. Founding
members are eligible to lock in membership upgrades at existing rates through
December 2002.
Q: What does equity ownership mean?
A: When you upgrade from a Non-equity to an Equity
membership, you will own a certain number of shares in the company based
upon which category of membership you select. The equity shares will be
non-transferable and non-tradable until such time as the company has an Initial
Public Offering, is listed on a stock exchange, or is acquired by another company.
There are no annual dividends or capital gains paid to members. Members
must remain current with their monthly dues to maintain their equity ownership.
Q: How do I make a golfing T-time reservation at
an InVicta Club?
A: InVicta Club members are allowed to make golfing
T-times and other arrangements directly with each InVicta
golf club. This alleviates any misunderstandings associated with t-time
reservations. The InVicta Club will eventually provide a personal
concierge to handle other golf, business, and entertainment requests to
make the InVicta Club benefits even more convenient and pleasurable for members
and their guests.
Q: Is the initiation fee returned to me when I discontinue
membership?
A: Non-Equity Memberships are Non-Refundable.
Future Equity Membership will be refundable at the original purchase price,
after four years, subject to a 50% transfer fee and a 4-new members in, to 1-existing
member out, requirement per category.
Q: What are Cash Royalties, How Do I Earn Them,
and When are they Distributed to Members?
A: Cash Royalties are cash
incentives paid to active members who refer new members to the InVicta Club.
Anytime a new member enrolls in the InVicta Club and places an active member’s
name in the “referred by” data field on the Internet enrollment form, the active
member will receive a cash royalty commensurate with the type of membership
joined. Cash royalties are paid annually in January. As long as
the active and joining members both remain members in good standing, the member
who referred the new member will continue to receive the cash royalty.
The cutoff date is June 30 to receive royalty distributions in the current year
for referring new members (i.e., if the new member joins in May 2002, you will
receive your distribution in January 2003). Referral distributions for
new members who join after June 30 will be paid the following year (i.e., if
the new member joins in August 2002, you will receive your distribution in January
2004). InVicta uniquely allows members to receive unlimited and significant
annual cash royalties that in turn enhances the value of both the company and
your membership.
Q: Do I have to use the InVicta Membership Card
for InVicta privileges, fees, charges and events?
A: Yes. The Company, like most private clubs,
will eventually issue a Membership Card that will be required for identification
and payment of all charges. To simplify the billing process, the membership
card will be a Visa or MasterCard. InVicta members own the company and
benefit from their spending habits including purchases on your InVicta Membership
Card. The more InVicta Members use InVicta services, the more valuable
their equity interests in the Company become. American Express, Master
Card, and other VISA cards may be used for membership fees and charges until
the InVicta Club VISA card is provided the members.
Q: Is the membership an individual or family membership.
A: All memberships are non-transferable individual
memberships. Additional memberships for family members are available with
the payment of additional dues only, not the initiation fee. Each family
member will have a separate membership number. Family members are defined
as a spouse and/or children under the age of 21.
Q: How Does the InVicta Club’s Partnership with
Golf Club Owners Work?
A: The InVicta Club is a new partnership or company,
that for the first time, combines the financial interests of golf Club owners,
golfers, and service providers under one company. Golf club owners enjoy
increased golf rounds and revenues, significant cash distributions, and equity
ownership in the InVicta Club. Members enjoy unrivaled local and national
golf privileges, equity ownership in the InVicta Club, cash royalties, business
networking, and related entertainment privileges. InVicta Members receive
special VIP privileges, rates, and treatment at their InVicta Clubs and are
thus encouraged to play their rounds at InVicta Clubs.
